Migent Software Corp, the Incline Village, Nevada micro database developer quoted on the Vancouver Stock Exchange, plans to sell a majority stake in itself to LANware Inc, in return for an exclusive licence for the duplicating and marketing of LANware Executive, an office network utility that opeartes with PC Lan, Novell NetWare, Token Ring and Vianet network operating systems. LANware will also get a 5% royalty on all products sold under the agreement. LANware developed its eponymous product with a dBase compatible file structure, but then decided that the Migent Emerald Bay offered a better database server technology and was better suited to the functions of LANware Executive, which will now be introduced as a surface applic ation to the Emerald Bay central engine. The agreement is hedged about with an onerous set of condi tions, most relating to troubled Migent’s ability to satisfy its creditors and settle with parties with which it is in dispute. In addition, LANware agreed to provide Migent with a management team and at leaset $1m in working capital via subscription to a share issue, leaving it with some 67% of Migent.
