Ameritech Corp, Chicago phone company, has filed a shelf registration with the US Securities & Exchange Commission for up to $1,000m in debt securities to be issued by its Ameritech Capital Fund Corp financing arm. Net proceeds will be used to provide funds for Ameritech and its subsidiaries.
Number Nine Visual Technology Corp, Lexington, Massachusetts has filed to go public with an initial offering of 2.6m shares, 2m of them new, at $15 per share. The supplier of video graphics subsystems gave no plans for the $28m or so net proceeds. The offering is managed by Robertson, Stephens & Co LP, Cowen & Co and Unterberg Harris.Plaintree Systems Inc, Waltham, Massachusetts got ots offer of 3.1m shares, 1.5m of them new, away at $9.50 a share. The maker of Ethernet and FDDI switches, bridges and routers, did not give plans for the $13m or so net proceeds; underwriters were Cowen & Co, Oppenheimer & Co and Gordon Capital Corp.
Pure Software Inc, Sunnyvale software testing tools specialist, has filed with the US Securities & Exchange Commission to go public with an initial offer of 2.75m shares, 2m of them new, at an apparent target price of $10.50 a share – at all events it looks for $19.7m net proceeds for working capital. The underwriters for the issue are Morgan Stanley & Co Inc and Wessels, Arnold & Henderson.
Rockwell International Corp raised $300m before expenses with an issue of 6.625% notes due June 1 2005 and noncallable for life; they were priced at $99.672% to yield 6.67% by Morgan Stanley & Co.
Softkey International Inc, Cambridge, Massachusetts successor company by three-way merger to WordStar International Inc, has filed to offer 2.42m shares, 2m of them new, and wants the indicated net proceeds of $48m or so for acquisitions and strategic alliances, to reduce debt and for working capital.Montgomery Securities, Adams, Harkness & Hill Inc and CS First Boston Corp are managing underwriters.
Tekelec Inc Calabasas, California got its offer of 1.7m shares, all new, away at at $19.50 per share, and plans to use the $30m or so net proceeds for working capital and to buy capital equipment. Alex, Brown & Sons Inc, Volpe, Welty & Co and Cruttenden Roth Inc were the managing underwriters.
VLSI Technology Inc, San Jose has filed to offer 2.5m new shares and says that net proceeds of at least $61.6m will be used to add to its wafer fabrication capacity. Underwriters for the issue are Salomon Brothers Inc, Bear, Stearns & Co Inc, Hambrecht & Quist LLP and Montgomery Securities Inc.
Nynex CableComms Plc, UK cable television operator, priced its combined offering of 305m share units at 137 pence a share or $21.81 per American Depositary Share of 10 units, for net proceeds of some ú383m. The flotation price is towards the bottom of the 131 pence to 151 pence target price range. S G Warburg Securities Ltd and Salomon Brothers Inc were joint global co-ordinators of the offering.
