America Online Inc, Vienna, Virginia has filed with the US Securities & Exchange Commission to offer 3.5m shares, 1.95m of them new, and wants proceeds for subscriber acquisition and marketing programmes, network expansion and working capital. The proposed offering is to be underwritten by Morgan Stanley & Co Inc, with Goldman Sachs & Co and Merrill Lynch & Co Inc as co-managers, the firm said.

Bachman Information Systems Inc, Burlington, Massachusetts raised $6m in a private placing of common shares to institutional and other investors. It will use the net proceeds for working capital and pursuing strategic initiatives and alliances. Allen & Co assisted in placing some of the shares.
