A group of investors has clubbed together to form SDC Software Partners II Limited Partnership and put up $5m to buy rights to the Brief editor for MS-DOS programmers on behalf of South Weymouth, Massachusetts-based Software Developer’s Co Inc, which already markets the product for its author, UnderWare Inc (which doesn’t make BVDs despite the way it sounds): the partnership will acquire ownership of the Brief and then grant Software Developer’s exclusive rights to develop, publish and market it in exchange for a royalty; the partnership also gets a warrant to buy 300,000 shares of Software Dev’s common stock exercisable after two years at $4.00 per share and expiring in five years; and Software Dev will sell its C-Worthy Interface Library to the partnership and license back marketing and development rights under the same terms; the moves will free up cash to enable Software Developer’s to do Unix and OS/2 versions of the products.
