Huntsville, Alabama-based contract manufacturer SCI Systems Inc now has definitive agreement to acquire and operate Tandem Computers Inc’s Watsonville, California printed circuit board assembly facility. Financial terms of the agreement were not disclosed, but SCI will buy the Watsonville operations, including the equipment and inventory, and supply Tandem with printed circuit board assemblies for a minimum of five years using most of the present Tandem employees. The transaction is scheduled to close on September 30 – the end of Tandem’s fiscal year, and is subject to conditions customary to asset purchase transactions. The US Federal Trade Commission has granted early termination of the required waiting period for the purchase under the Hart-Scott Rodino Antitrust Improvements Act on July 30, 1992 and has cleared the transaction. SCI Systems manufactures for aerospace, industrial and commercial customers.
