Datametrics Corp, Chatsworth, California has signed a non-binding letter of intent to acquire Rugged Digital Systems Inc for 2m new Datametrics shares; the outstanding balance of Rugged Digital’s subordinated notes will also be converted into an aggregate of up to 750,000 shares of a newly created series of junior preferred stock of Datametrics, convertible into Datametrics common on a one-for-one basis; Rugged Digital, based in Mountain View, California is a privately-held maker of ruggedised workstations for use by US and international military customers, and did $9,000 net on sales of $13.2m for its fiscal year ended July 31 1992.
