The deal will see Radisys pay about $73m in cash, and 3,665,460 shares of its common stock to Continuous Computing, focused on mobile broadband networks.

In addition, RadiSys will make earn-out payments based on revenues generated by a specified set of Trillium products over a three year period.

RadiSys, a hardware and software platforms provider, develops communications systems consisting of ATCA platforms and Trillium protocol software, where key customer applications include 3G and 4G Wireless infrastructure, Small Cell base stations, Traffic Management, Internet Offload and Network Security.

Following the deal, Continuous Computing is now a wholly-owned subsidiary of RadiSys, and made Mike Dagenais RadiSys’ new chief executive officer.
