Parametric Technology Corp has acquired Auxilium Inc, a Mendota Heights, Minnesota-based applications integration firm, for $79m. Privately-held Auxilium’s web-based software provides access to and integration of data from business information systems, including enterprise resource planning, product data management systems and legacy data.
Under the terms of the deal, Parametric offered shares of common stock and cash in exchange for all outstanding common stock and preferred shares of Auxilium, and all Auxilium stock options will be exchanged for Parametric options. Parametric expects to take a one-time charge against in-progress R&D during its first fiscal quarter, ending April 3, 1999.
The acquisition is another component of Parametric’s Windchill product lifecycle management system, first announced last year (CI No 3,473). Windchill, which ties into
PTC’s Pro-engineer CAD/COM software, is web-based, and is intended to eventually cover all the phases of product development from planning and market research, through to developing specifications, sourcing parts and shipping to customers. Parametric is building links from its software to SAP AG and Oracle Corp ERP software.
Auxilium’s core Info*Engine will accelerate Windchill’s ability to integrate PDM, ERP, database and legacy systems, Parametric says. Existing customers of the product include Boeing Co, Lockheed Martin, Raytheon, Ford, General Motor Co, Ericsson NV and Motorola Inc. In January, the UK-based virtual reality software developer Division Group Plc accepted a $28m takeover bid from Parametric (CI No 3,581). The company said it would integrate Division’s product visualization software into Windchill.
Parametric also announced a technology and marketing agreement with Tecnomatix Technologies Ltd, and will use the Tecnomatix Digital Factory Process Model and computer-aided production engineering applications within Windchill to link product and process information management. In return, Tecnomatic will become the first licensee of Windchill.
