Supply chain management outfit Manugistics Group Inc announced that it will acquire Tyecin Systems Inc, a Los Altos, California- based provider of planning and scheduling applications for the semiconductor industry. Manugistics says the deal will allow it to offer the only integrated package optimized for semiconductor manufacturers and other high-tech industries to enable them to deliver products on-time with consistent quality. It says a combined package will be made available immediately, with a fully-integrated one planned for later this year as part of Manugistics5. Tyecin, which has focused solely on semiconductors and the microelectronics industry, boasts over 350 installed sites, including eight of the top 10 semiconductor manufacturers, including Fujitsu, Hewlett-Packard, Hitachi, IBM, Level One Communications, Texas Instruments, Toshiba, and TSMC in Taiwan. Under the terms of the agreement – which has been approved by the boards of each company – Rockville, Maryland-based Manugistics will issue approximately 333,000 shares of Manugistics common stock in exchange for all the outstanding Tyecin stock, valuing the transaction at approximately $9.5m. Manugistics will account for the purchase as a pooling of interests and expects to take a non-recurring charge associated with the merger of roughly $3m in its fiscal second quarter, ending August 31. Separately on Monday, Manugistics announced that it’s formed a strategic alliance with supply chain consulting and systems integration firm Computer Sciences Corp, to provide businesses with packages built around CSC’s professional services and Manugistics’ software.
