Enterprise storage management software vendor Legato Systems Inc said Monday that it has acquired Vinca Corp for $94m. Orem, Utah- based Vinca develops high-availability and data protection software and Legato says the deal, coupled with its $69m acquisition of FullTime Software Inc last October, effectively makes it the largest provider of data availability software for distributed systems. The acquisition of Vinca, Legato asserts, also extends its reach beyond the realm of high-end NT and Unix to mixed NT, NetWare, and OS/2 environments.

In addition to Vinca’s StandbyServer product, Legato also gains new OEM relationships, Vinca’s 300 certified distributors, and 20,000 customers worldwide. It says the combined entity will have an installed base of over 75,000 customers. Legato will account for the deal as a purchase and expects it to be accretive to 1999 earnings, excluding the effects of one-time charges and associated ongoing amortization costs. The acquisition will be financed with a combination of stock and cash, although Legato provided no further details on the mix or the expected charges. Closing is expected next month. รก
