The Cadbury report on good governance recommends non-executive Board members
should outweigh executives to ensure independent counsel in guiding a
company’s strategic direction.
In order to bring the Company in line with this best practice, executive
directors Kaye Sycamore and Dave Clements have both stepped down from the
Board with immediate effect but will remain with the company.
Kaye and Dave will both remain on the Company’s operational board and will
continue to help run the Company on a day-to-day basis.
Following these changes, the Board will comprise of Graeme Frost, chief
executive, Chris Grindal, finance director, Mark Taylor, non-executive
director, and newly appointed non-executive chairman Claes Hultman. Keystone
plans to announce the appointment of a further non-executive director in the
near future.
