InaCom Corp, Omaha, Nebraska is to acquire three networking consultancies – Perigee Communications Inc of Minneapolis; Networks Inc, Fort Lauderdale, Florida, and Gorham Clark of New York. InaCom is to pay a total of about $10.5m cash and issue about 360,000 common shares in the three separate deals, and there are earn-out arrangements that could result it in paying up to 120,000 more shares. Costs and expenses in connection with the transactions will result in a nonrecurring fourth-quarter net charge of $1.0m to $1.25m, InaCom added. Gorham was acquired in a purchase, while Perigee and Networks were acquired in share exchange pacts.
