Pursuant to the agreement announced between the two in February, Hewlett-Packard Co says it now holds 1.45m 3Com Corp shares or 5% of the total outstanding: Hewlett says it bought the shares stock to develop and maintain a strategic partnership in which each company remains independent while working together to develop, market and sell their products; it said it did not intend to seek control of 3Com but it can under the agreement, buy up to 10% of 3Com’s stock if 3Com has cumulative incremental revenues attributable to its relationship with Hewlett that meet or exceed certain thresholds, and can also increase its 3Com holdings if a third party acquires more than 10%.
