Burlington, Massachusetts-based Easel Corp is to take over Enfin Software Corp in a share swap agreement valued at about $7.8m. In the wake of the merger, Enfin will operate as a wholly-owned subsidiary under the name Enfin Technology Corp. Holders of Enfin will receive between 538,000 and 672,000 shares of Easel common, option holders get options on 242,000 to 303,000 shares. Easel expects costs of the merger to result in charges of between $1m and $1.5m against figures for the current quarter. Enfin develops and markets the Enfin/2 and Enfin/3 object-oriented programming environments for building OS/2 and Windows client-server applications. Both products include an integrated set of visual tools that support Enfin’s Smalltalk-based object-oriented programming language. Enfin/3 runs under OS/2 2.0 in 32-bit mode and supports IBM Corp’s Common User Access ’91 user interface guidelines. Enfin/2 runs under Microsoft Corp Windows, and under OS/2 2.0 in 16-bit mode. Easel says it is fully committed to continued development of its own Easel Workbench and the Enfin products and the two development teams will begin work on sharing of features between the products. Longer term development will focus on achieving a high degree of interoperability. For the rest of this year, Easel will offer Enfin and Easel Workbench for the combined price of $11,900. Enfin, based in San Diego with international operations in Stutggart, Germany, employs 40 people, and had sales of some $3m in 1991.
