COMPAQ COMPLETES SUCCESSFUL TENDER FOR SHOPPING.COM

Compaq Computer Corp said Thursday that more than 9.935 million shares – or roughly 95.9% of the total outstanding – of Shopping.com Inc’s common stock have been tendered to the company in connection with its previously-announced $18.25 per share offer which closed on February 12. Compaq says it will now move quickly to complete the acquisition, and expects to do so in early March. Under the terms of the deal, any shares of Shopping.com common stock not tendered and purchased pursuant to the tender offer or otherwise owned by Compaq will be converted into the right to receive $18.25 per share in cash.
