Cadnetix Corp is urging shareholders to reject the hostile, unsolicited tender offer made for it by Daisy Systems Corp and not to tender any shares, saying it and its financial and legal advisors believe the offer is inadequate, coercive, excessively conditional and not in the best interests of Cadnetix and its shareholders: it is seeking a declaratory judgement in Colorado district court to the effect that its shareholder protection rights plan is valid, enforceable and conforms to state law.
