O2 was due to accept a debt of $2.9 billion from BT at its inception; this has been reduced to $728 million.
The initial figure of $2.9 billion is still considerably under the price BT paid for its UK license and other European licenses.
The small debt of the new company will make it a prime candidate for a takeover.
