BDM SEEKS TO BREAK UP AMDAHL’S DMR GROUP PARTY

BDM International Inc, McLean, Virginia is trying to muscle in and break up the party between Amdahl Corp and its Canadian target DMR Group Inc, Montreal. BDM is offering $6.64 a class B share of DMR, topping Amdahl’s $6.09 per share bid. Under DMR’s shareholder provisions, class A shareholders can convert their shares to class B if an offer is made for the class B shares, and while three major shareholders have irrevocably accepted, they hold 99% of the class B stock, but only 15% of the class A.
