Borland International Inc and Ashton-Tate Corp advise that Edward Michael, an Ashton-Tate shareholder, has filed a complaint in Delaware Chancery court against Ashton-Tate, its directors and Borland alleging that the Ashton-Tate directors had breached their fiduciary duties by agreeing a merger and stock option pact with Borland and alleging that the consideration in the merger pact is inadequate; the suit is seeking class status.
