AMERICAN MOBILE/JCC HOLDINGS/TRANSIT COMMUNICATIONS MERGER

Cellular operator American Mobile Systems Inc has a letter of intent to combine with JCC Holdings Inc and Transit Communications Corp in a deal that would create a new company in which American Mobile holders would end up with 41%, holders of JCC 40% and Transit holders 19%.
