ALPHAREL AGREES TO PAY $10.8m FOR OPTIGRAPHICS

Camarillo, California-based Alpharel Inc, designer and marketer of electronic document imaging systems for industrial, commercial and governmental applications, signed definitive agreement to acquire Optigraphics Corp, San Diego supplier of imaging systems that capture, store and edit drawings and technical documents for industrial and governmental applications. Alpharel will pay $10.8m all told, $4.4m of it in cash, plus 2.27m new Alpharel shares and the balance in promissory notes. For the nine months to March 31, Optigraphics lost $101,000 on turnover of $7.4m and its assets stood at $10.3m.
