Alpha Microsystems Inc, the Santa Ana, California manufacturer of proprietary supermicros that has been buying up moribund computer manufacturers, partcularly ones with Pick systems, has received an unsolicited offer for the company from Aril Group Inc of New York, which is proposing to pay about $10m cash and about 10.5m new Aril shares. No details of Aril, or what it does, were available by the time we closed Friday. Alpha Microsystems commented that its board, in its preliminary review of Aril’s offer, has concerns regarding the financial capability of Aril and has received no assurances that with or without a financial partner, Aril will be able to effect the transaction: following concrete assurances of the financial viability of the parties the board of directors will then be in a better position to evaluate Aril’s offer, which does n’t sound as if it’s loath to sell.
