Bookham Technology, one of the leading integrated optical component design and manufacturing companies, will combine Measurement Microsystems’ DSP algorithms for optical signal extraction with its own advanced DWDM technology. The union of these two technology platforms will enable Bookham Technology to achieve enhanced product functionality and optimization through intelligent opto-electronic integration.

Under the terms of the agreement, Bookham Technology will acquire all of the outstanding ordinary shares of Measurement Microsystems, a closely-held Canadian company. The total acquisition consideration will be no more than $47.5 million, of which $10 million will be paid in cash and the remainder by the issue of new Ordinary Shares in Bookham Technology, depending on the satisfactory completion of specific technical and business-based milestones.

We believe that Measurement Microsystems will play a key role in Bookham Technology’s development of next-generation DWDM optical modules, indicated Giorgio Anania, President, Bookham Technology. Our immediate plans are to apply their technology to our existing optical channel monitor (OCM) product line, where we already have a strong product position which we can further enhance.

We believe that the integration of our opto-electronic technology with Bookham Technology’s advanced DWDM optical products and capabilities is an extremely complementary fit, said Andrzej Barwicz, Founder and CEO, Measurement Microsystems. Bookham Technology is widely recognised for its innovative and manufacturable approach to optical integration and we look forward to playing a strong role in the next step of this success story by enabling the development of all silicon opto-electrical circuits.
