The capital increase, which has a nominal value of 32,969,782 euros, entails the issuance of 65,939,564 new shares with a nominal value of 0.50 euros each and an issue premium of approximately 3.3 euros per share.
Telefonica Moviles will apply for a listing of the new shares on the stock exchanges of Madrid, Barcelona, Valencia and Bilbao, as well as their inclusion the Stock Market Interconnection System (Continuous Market).
The new shares will be exchanged for shares held by Telefonica, S.A. of its affiliate Telefonica del Peru, S.A.A., which will allow for the transfer of the cellular assets of the Telefonica Group to Telefonica Moviles.
This same procedure, described in the prospectus for the Telefonica Moviles IPO was used recently for the integration of the cellular telephony business of Telefonica de Argentina into the Telefonica Moviles Group.
This latter transaction took place in late January, when the company held a capital increase of 174,863,364 ordinary shares.
