The two companies are now in a position to recoup some of the acquisition price by continuing InterTrust’s legal action against Microsoft Corp in which it accuses the Redmond giant of patent infringement in virtually every piece of its platform software.

The attraction of InterTrust is that its technology is designed to allow secure delivery of digital content, and prevent the kind of piracy that has savaged the earnings of music companies around the world.

Santa Clara, California-based InterTrust owns intellectual property in Digital Rights Management (DRM), with 26 US patents, and around 85 patent applications pending worldwide. Its portfolio covers software and hardware technologies that can be implemented in a broad range of products that use DRM, including digital media platforms, web services and enterprise infrastructure.

Sony and Philips masterminded the takeover through jointly held Fidelio Acquisition Company LLC, and InterTrust will become a subsidiary of Fidelio.
