Cognos, a provider of business intelligence and performance management software solutions, has announced that the Federal Trade Commission and the Antitrust Division of the US Department of Justice have granted early termination of the mandatory waiting period under the Hart-Scott-Rodino Act in connection with the proposed all cash acquisition of Cognos by IBM.
IBM has signed an agreement to purchase Cognos at a price of $58.00 per share.
The company stated that the transaction remains subject to the receipt of Cognos shareholder approval, court approval, other regulatory clearances, and other customary closing conditions.
