Middletown, New York-based computer-aided design, manufacturing and engineering software specialist Cadema Corp has completed its previously announced acquisition of the Billerica, Massachusetts-based Cognition Inc subsidiary of Automatix Inc for $300,000 in cash and $1.494m in Cadema notes – Automatix got the cash and $540,000 in two-year non-convertible notes for its 71% stake in the business, whose legal name is SuperCads Inc, and the remaining $954,000 of notes went to several venture investors that held senior securities in Cognition – these notes are covertible over five years into up to 1.9m Cadema shares; it has 10.5m out now.
