The Softworks Inc Bohemia, New York subsidiary of Computer Concepts Corp, which supplies systems and data management tools for large systems, is to acquire DBopen Inc, Hoboken, New Jersey; it will issue $939,300 of restricted common stock and assuming long-term debt of $370,000 with a provision for more restricted common stock to be paid on timely completion and delivery of new products for the Oracle and Sybase markets, as well as payment of additional consideration over a four-year period based on the revenue and profit contribution of DBopen, which develops products that provide enhanced database system administration, design and analysis capabilities such as generating utilities, managing security or changing object attributes.
